Terms & Conditions

1. About These Terms

These Terms & Conditions govern access to and use of the website operated by The Village Road (“we”, “us” or “our”).

The Village Road imports and supplies wine, beer, spirits and related products to retail businesses and other eligible trade customers in New Zealand.

By accessing this website, submitting an enquiry, requesting a quotation or placing a wholesale order, you agree to these Terms & Conditions to the extent they apply to your activity.

If you do not agree with these terms, please discontinue use of the website.

2. Business and Trade Customers

Our products and wholesale supply services are intended primarily for business customers, including eligible retailers, hospitality businesses and other authorised trade purchasers.

By submitting a wholesale enquiry or placing an order, you confirm that:

  • You are acting in a business or trade capacity where applicable.
  • The information you provide is accurate and complete.
  • You have the authority to act on behalf of the business you represent.
  • You will comply with all applicable New Zealand laws and regulations relating to the purchase, resale, storage and handling of alcohol.

We may request business details or other information reasonably necessary to assess an enquiry or order.

We reserve the right to decline an enquiry or order where reasonably necessary, including where we cannot verify relevant information or fulfil the requested supply lawfully.

3. Product Information and Availability

We endeavour to ensure that product descriptions, photographs, specifications, country-of-origin details, packaging information and availability information displayed on this website are accurate and current.

However:

  • Product images are illustrative and may differ from the actual packaging or presentation.
  • Vintage, packaging, labelling, product specifications and availability may change.
  • Product information may be updated by manufacturers, producers or suppliers.
  • Listing a product on the website does not guarantee that it is currently available for supply.

Please contact us to confirm product specifications, stock availability, minimum order quantities and any other requirements before placing an order.

We will take reasonable steps to correct material errors in product information when identified.

4. Enquiries, Quotations and Orders

Submitting an enquiry or requesting a quotation does not constitute a confirmed order or create an obligation for us to supply products.

Unless otherwise agreed in writing, quotations are subject to product availability, applicable pricing, delivery arrangements and our acceptance of the order.

A quotation may be withdrawn or revised before acceptance if circumstances materially change, subject to applicable law and any express terms agreed with the customer.

An order is accepted when we provide written confirmation or otherwise clearly communicate our acceptance.

We may decline an order where a product is unavailable, a material pricing or listing error has occurred, the customer does not meet relevant supply requirements, or fulfilment would be unlawful or impracticable.

If payment has been received for an order that we decline or cannot fulfil, we will arrange an appropriate refund for the amount paid for the unfulfilled supply.

Any customer-specific terms agreed in writing will apply to the extent they are inconsistent with these general terms.

5. Pricing, GST and Payment

Prices, wholesale rates, minimum order quantities, delivery charges and payment terms will be communicated in the relevant quotation, price list, invoice or written agreement.

Unless expressly stated otherwise, prices are in New Zealand dollars (NZD).

GST treatment will be stated in the applicable quotation or invoice. Where a price is exclusive of GST, applicable GST will be added as required by law.

Customers must pay invoices by the due date specified on the invoice or as otherwise agreed in writing.

If payment is overdue, we may take reasonable steps to recover outstanding amounts and, where permitted by law and the relevant agreement, suspend further supply until the account is brought up to date.

Any interest, collection costs or other charges for overdue accounts must be permitted by law and supported by the applicable agreement.

6. Delivery and Risk

Delivery methods, locations, timeframes, freight charges and any minimum delivery requirements will be agreed or confirmed when an order is accepted.

Delivery dates are estimates unless expressly agreed as binding in writing. We will communicate material delays where reasonably practicable.

Customers must provide accurate delivery details and ensure that the receiving location is suitable for the delivery.

Risk in products passes to the customer at the point specified in the applicable quotation, order confirmation or written supply agreement. If no specific arrangement has been agreed, risk passes upon delivery to the customer or its authorised recipient, subject to applicable law.

Ownership of products passes in accordance with the applicable supply agreement and any valid retention-of-title arrangement. Nothing in this clause overrides applicable law.

7. Inspection, Damaged Goods and Returns

Customers should inspect deliveries as soon as reasonably practicable and notify us promptly of any shortage, damage, incorrect product or apparent defect.

Please provide the relevant invoice or order number and supporting photographs or other information where appropriate.

We will assess reported issues and work with the customer to determine an appropriate resolution.

Returns, exchanges, credits and refunds require prior coordination with us, except where a remedy is required by law.

We may decline returns of correctly supplied products that are no longer wanted or ordered in error, subject to any agreed return policy and applicable law.

Nothing in these terms excludes or limits any rights or remedies that cannot lawfully be excluded or limited.

8. Alcohol Compliance

All dealings involving alcoholic beverages must comply with the Sale and Supply of Alcohol Act 2012 and any other applicable New Zealand laws and regulations.

Customers are responsible for ensuring that their own activities, including retail sales, storage, advertising, distribution and supply of alcohol, comply with applicable legal requirements.

Where a particular transaction requires a licence, authorisation, verification or other legal condition, the relevant parties must satisfy that requirement before the transaction proceeds.

We may request reasonable evidence of a customer’s eligibility or authority to purchase particular products and may refuse or suspend supply where necessary to comply with the law.

Nothing on this website should be interpreted as authorising a customer to sell or supply alcohol without any licence or authorisation required for that activity.

9. Website Use

You agree to use this website lawfully and responsibly.

You must not:

  • Use the website for fraudulent, unlawful or misleading purposes.
  • Attempt to gain unauthorised access to the website, its systems or other users’ information.
  • Interfere with the website’s security, operation or availability.
  • Upload malicious code or other harmful material.
  • Copy, reproduce or commercially exploit website content without permission, except as permitted by law.

We may restrict access to the website where reasonably necessary to protect our systems, users or business interests.

10. Intellectual Property

Unless otherwise stated, the website’s text, branding, logos, graphics, design and other original content are owned by or licensed to The Village Road or the relevant rights holder.

You may view and use website content for legitimate business enquiry and purchasing purposes.

You must not reproduce, modify, distribute or commercially exploit our intellectual property without prior permission, except where permitted by law.

Product names, trademarks, logos and images belonging to third-party producers or brands remain the property of their respective owners.

11. Third-Party Websites

This website may contain links to third-party websites or services.

These links are provided for convenience or information. We do not control third-party websites and are not responsible for their content, availability, security or privacy practices.

Accessing third-party websites is at your own discretion and subject to their applicable terms and policies.

12. Disclaimer and Liability

We make reasonable efforts to maintain a reliable website and provide accurate information. However, to the extent permitted by law, we do not guarantee that the website will always be available, uninterrupted or free from errors.

To the extent permitted by law, we are not liable for indirect or consequential loss arising from the use of this website or reliance on general website information.

Any liability arising from a confirmed wholesale order will be determined by the applicable supply agreement and New Zealand law.

Nothing in these terms excludes, restricts or modifies any statutory right, guarantee or remedy that cannot lawfully be excluded, restricted or modified, including applicable rights under the Fair Trading Act 1986, the Consumer Guarantees Act 1993 where it applies, and other relevant legislation.

Where the law permits a limitation of liability, that limitation applies only to the extent legally enforceable.

13. Privacy

We handle personal information in accordance with our Privacy Policy and the New Zealand Privacy Act 2020.

Please refer to our Privacy Policy for details about the information we collect, how we use it, when we disclose it and how you can exercise your privacy rights.

14. Changes to These Terms

We may update these Terms & Conditions from time to time to reflect changes to our business, website, supply arrangements or legal obligations.

The updated version will be published on this website with a revised “Last updated” date.

Changes will not retrospectively alter an existing written supply agreement except as permitted by that agreement or by law.

15. Governing Law

These Terms & Conditions are governed by the laws of New Zealand.

Subject to any mandatory legal requirements, disputes relating to these terms will be subject to the jurisdiction of the New Zealand courts.
